Agreement to Our Legal Terms

We are VINYO Inc., doing business as VINYO ("Company," "we," "us," "our"), registered in Delaware at 651 N Broad St, Suite 201, Middletown, DE 19709, New Castle County.

We operate the mobile application VINYO ("the App") and related products and services that refer to these Legal Terms (collectively, the "Services"). Our mission is to develop the world’s best wine education application, make information accessible and inclusive, provide a platform for local brands, and support underserved groups in the alcoholic beverage industry.

These Legal Terms constitute a binding agreement between you ("you") and VINYO Inc. By accessing the Services, you confirm you have read, understood, and agree to be bound by these Legal Terms. If you do not agree, you are prohibited from using the Services.

We will provide prior notice of any scheduled changes to our Services. Modified Legal Terms become effective upon posting or notice to you. Continued use of the Services after changes constitutes agreement to the modified terms.

The Services are intended for users at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

1. Our Services

The information provided through our Services is not intended for use in any jurisdiction or country where such use would be contrary to law or require registration. Anyone accessing the Services from outside the US does so on their own initiative and must comply with local laws.

Our Services are not tailored for industry-specific regulations (such as HIPAA or FISMA). If your interactions are subject to such laws, you may not use the Services. You may not use the Services in violation of the Gramm-Leach-Bliley Act (GLBA).

Our Intellectual Property

We own or license all intellectual property in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos ("Content" and "Marks"). Your Use of Our Services

We grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print Content for personal, non-commercial use, subject to your compliance with these Legal Terms.
No other use is permitted without our express written permission.

Breach of these Intellectual Property Rights results in termination of your right to use the Services.

Your Submissions and Contributions

By submitting content, you assign us all intellectual property rights and agree we may use it for any lawful purpose without acknowledgment or compensation.
Publicly posted Submissions are treated as Contributions.
Contributions may be viewable by other users.
By posting Contributions, you grant us a worldwide, perpetual, royalty-free license to use, reproduce, and distribute them for any purpose, in any format.
You warrant you have the rights to grant this license and that your Contributions do not infringe on third-party rights or violate any law.
We may remove or edit Contributions at our discretion and may suspend or disable accounts or report to authorities if necessary.

3. User Representations

By using the Services, you represent and warrant that:

All registration information you submit is true and accurate.
You will maintain and update this information as necessary.
You have legal capacity and agree to comply with these Legal Terms.
You are not a minor in your jurisdiction.
You will not access the Services through automated means.
You will not use the Services for illegal or unauthorized purposes.
Your use will comply with all applicable laws and regulations.

If any information is untrue or incomplete, we may suspend or terminate your account.

4. User Registration

You may be required to register to use the Services. You are responsible for your password and account use. We reserve the right to remove or change inappropriate usernames.

5. Products

We strive to display product details accurately but do not guarantee accuracy. Products are subject to availability, and prices may change.

6. Purchases and Payment

You agree to provide accurate purchase and account information and promptly update it. All payments are in US dollars. We may refuse or limit orders at our discretion.

You may not use the Services for any unlawful or unauthorized purpose. Prohibited activities include, but are not limited to:

Data scraping or compilation without permission
Attempting to obtain sensitive account information
Interfering with security features
Harming or misleading others
Unlawful use or violation of any regulations
Unauthorized framing or linking
Uploading viruses or disruptive materials
Impersonation or use of others’ usernames
Collecting personal data for unsolicited communications
Selling or transferring your profile
Advertising without authorization

9. User-Generated Contributions

Contributions may be viewable by other users and are considered non-confidential and non-proprietary. By submitting Contributions, you represent and warrant you hold the rights to them and they do not violate any laws or third-party rights.

10. Contribution License

By posting Contributions, you grant us an unrestricted, worldwide, perpetual, royalty-free license to use, reproduce, and distribute your Contributions for any purpose and in any format. You retain ownership of your Contributions but waive all moral rights. We are not liable for any statements in your Contributions.

11. Guidelines for Reviews

When posting reviews, you must:

Have firsthand experience with the subject
Not use offensive or discriminatory language
Not reference illegal activity
Not be affiliated with competitors if posting negative reviews
Not post false or misleading information

Reviews may be accepted or removed at our discretion.

12. Mobile Application License

You are granted a limited, non-transferable license to install and use the App in accordance with these Legal Terms. Restrictions and additional terms apply, especially when using app distributors such as Apple or Google.

13. Social Media

You may link your account to third-party services and share content accordingly. Your relationship with third-party providers is governed solely by your agreements with them.

14. Advertisers

We allow advertisers to display ads within the Services but are not otherwise affiliated.

15. Services Management

We reserve the right to monitor, restrict, or remove content; take legal action for violations; and manage the Services as necessary.

16. Privacy Policy

We care about data privacy and security. Review our Privacy Policy at https://adonis21.wixsite.com/vinyo/copy-of-legal-notice. By using the Services, you consent to data transfer to and processing in the United States.

17. Copyright Infringements

We respect others’ intellectual property rights. If you believe your copyright has been infringed, contact us as provided below.

These Legal Terms apply as long as you use the Services. We reserve the right to deny access or terminate your account at any time for any reason.

19. Modifications and Interruptions

We may alter or discontinue Services at any time. We are not liable for any downtime or interruptions.

20. Governing Law

These Legal Terms are governed by the laws of the State of Delaware.

21. Dispute Resolution

Legal actions must be brought in the state or federal courts of New Castle County, Delaware. Claims must be brought within one year of arising.

22. Corrections

We reserve the right to correct errors, inaccuracies, or omissions at any time without notice.

23. Disclaimer

The Services are provided "AS IS." We disclaim all warranties to the fullest extent permitted by law.

24. Limitations of Liability

We are not liable for indirect, consequential, or special damages. Our total liability is limited as described herein.

25. Indemnification

You agree to indemnify and hold us harmless from losses or claims arising out of your use of the Services or your Contributions.

26. User Data

We may maintain data related to your use of the Services but are not liable for data loss or corruption.

27. Electronic Communications, Transactions, and Signatures

You consent to receive electronic communications and agree that electronic agreements, signatures, and records satisfy legal requirements.

28. California Users and Residents

Unresolved complaints may be sent to the California Department of Consumer Affairs.

29. Miscellaneous

These Legal Terms are the entire agreement between you and us. If any part is determined unenforceable, the remaining terms remain in effect.
